Terms of Service

These Terms of Service ("Terms") govern your use of the websites, platform, and services operated by Lucid Realty, LLC and Lucid Private Market (collectively, "Lucid," "we," "us," or "our"), including lucidoffer.com and lucidprivatemarket.com.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.

Overview and Entities

Lucid operates through two related entities. Lucid Private Market is a technology platform that facilitates connections between sellers and verified buyers in a private real estate marketplace. Lucid Realty, LLC is a licensed Florida real estate brokerage that provides brokerage services for transactions that result from platform connections.

The platform is not a brokerage. It does not provide real estate representation, negotiate transactions, or handle contracts. Brokerage services are provided exclusively by Lucid Realty under separate brokerage agreements. These entities share common ownership, which is disclosed to all clients.

2.

Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use our services. By using our platform, you represent that you meet these requirements. Our services are currently available only for properties located in the state of Florida.

3.

Account Registration

Certain features require account registration. You agree to provide accurate, current, and complete information during registration and to update that information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must notify us immediately at info@lucidoffer.com if you become aware of unauthorized use of your account.

Platform Services

The Lucid Private Market platform provides the following services: buyer verification and profile management, anonymized buyer directory searchable by sellers, invite-to-offer workflows, in-platform masked messaging between sellers and buyers, offer submission and management, and audit logging of platform activity.

The platform facilitates connections. It does not guarantee that any listing will receive offers, that any buyer will receive invitations, or that any transaction will result from platform use.

5.

Brokerage Services

Brokerage services — including listing agreements, contract preparation, negotiation, and transaction coordination — are provided by Lucid Realty, LLC under separate written agreements. No brokerage relationship exists between you and Lucid Realty unless you have executed a listing agreement, buyer representation agreement, or other written brokerage agreement.

Lucid Realty complies with Florida Statute 475.278 regarding brokerage relationship disclosure. The nature of the brokerage relationship (single agent, transaction broker, or no brokerage relationship) will be disclosed in writing before or at the time services are provided.

6.

Buyer Verification

To access the marketplace as a buyer, you must complete verification, which includes email verification, SMS phone verification, timeline declaration, soft identity check, and proof of funds or pre-approval documentation. Verification must be approved by Lucid before you can appear in seller searches, receive invitations, or submit offers.

Verification expires every 90 days and must be renewed. Unverified or expired buyers are removed from the active marketplace. You agree to provide truthful and accurate information during verification. Submitting false or misleading verification documentation is grounds for immediate account termination.

7.

Seller Listings

All listings on the Lucid Private Market are private. They are not syndicated to the MLS, not indexed by search engines, and not visible to the general public. Before listing, sellers must acknowledge in writing that their listing is not on the MLS, that exposure may be limited compared to public marketing, that MLS entry remains optional at any time, and that participation is voluntary.

Sellers are responsible for the accuracy of all information provided in their listings. Lucid does not independently verify property information, valuations, or condition claims made by sellers.

8.

Invite-to-Offer Process

Sellers may search the anonymized buyer directory and invite one or more verified buyers to submit offers on their property. Invitations are non-binding. An invitation sets non-binding terms (price range, closing window, financing preference, earnest money range, inspection expectations) and an expiration period. Buyers are under no obligation to respond to or accept any invitation.

Sellers are under no obligation to accept any offer received through the platform. The platform facilitates the exchange of terms — it does not constitute a binding contract between parties.

9.

Buyer Identity Protection

Buyer profiles in the seller directory are anonymized. No names, email addresses, phone numbers, or physical addresses are visible to sellers during the search and invitation process. Seller search is limited to structured filters. Free-text search is not available.

Buyer identity is disclosed to the seller upon offer submission. By submitting an offer, you acknowledge and consent to the disclosure of your identity and contact information to the seller and, if applicable, the seller's and buyer's agents. This disclosure is required for the offer to be submitted and cannot be reversed.

10.

Messaging

Pre-offer communication between sellers and buyers occurs through the platform's masked messaging system. Direct contact information is not shared through messaging. You agree not to include personal contact information (phone numbers, email addresses, physical addresses, social media handles) in platform messages prior to offer submission. Lucid reserves the right to monitor messages for compliance with this policy and to suspend accounts that violate it.

11.

Priority Buyer Membership

Priority Buyer membership is an optional paid subscription that provides visibility advantages: early access to new listings (24-hour window), higher placement in seller search results (capped at 25% of first-page results), a "Priority Member" badge visible to sellers only, and higher placement in buyer invitation lists (capped at 30% of shown invitations).

Membership does not guarantee access to any listing, acceptance of any offer, or invitations from any seller. The badge does not represent any claim about buyer quality, seriousness, or likelihood of closing. Lucid reserves the right to modify membership benefits with reasonable notice.

12.

Payments and Billing

Buyer memberships are billed through Stripe. Available plans: $29/month, $149 for six months, or $249/year. Monthly subscriptions renew automatically until cancelled. Six-month and annual plans are prepaid.

You may cancel your subscription at any time. Monthly subscriptions end at the close of the current billing period. Six-month and annual plans do not offer partial refunds for unused time. Cancellation does not affect any active offers or transactions in progress.

We reserve the right to change pricing with 30 days' notice. Price changes do not affect active prepaid plans until renewal.

13.

Prohibited Conduct

You agree not to:

Provide false or misleading information during registration, verification, or listing creation. Attempt to circumvent buyer identity protections or share personal contact information through platform messaging prior to offer submission. Use the platform to discriminate against any person based on race, color, religion, sex, national origin, disability, familial status, or any other protected class under federal, state, or local fair housing laws. Attempt to manipulate search results, verification status, or platform features. Use automated systems (bots, scrapers, crawlers) to access the platform. Interfere with platform operations or security. Use the platform for any purpose unrelated to real estate transactions. Harass, threaten, or abuse other users through platform messaging.

Violation of these rules may result in account suspension or termination and referral to appropriate authorities where warranted.

14.

Intellectual Property

All content, design, software, and technology associated with the Lucid platform and websites are owned by Lucid Realty, LLC and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our content without prior written consent.

By submitting content to the platform (listings, messages, documents), you grant Lucid a non-exclusive, royalty-free license to use that content as necessary to provide and operate our services.

15.

Disclaimers

The platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Lucid does not warrant that the platform will be uninterrupted, error-free, or secure. Lucid does not guarantee the accuracy, completeness, or reliability of any listing information, buyer profiles, or other content on the platform. Lucid does not endorse or verify the financial capacity, intentions, or qualifications of any buyer or seller beyond the stated verification process.

Lucid is not responsible for the conduct of buyers, sellers, or agents who use the platform. All real estate transactions involve risk. You should conduct your own due diligence and seek independent professional advice (legal, financial, inspection) before entering into any transaction.

16.

Limitation of Liability

To the maximum extent permitted by applicable law, Lucid and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the platform, any transaction or failed transaction facilitated through the platform, unauthorized access to or alteration of your data, or any other matter related to the services.

Lucid's total aggregate liability for any claims arising from or related to these Terms or your use of the services shall not exceed the greater of (a) the amount you paid to Lucid in the twelve months preceding the claim, or (b) one hundred dollars ($100).

17.

Indemnification

You agree to indemnify, defend, and hold harmless Lucid and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney's fees) arising from your use of the services, your violation of these Terms, your violation of any third-party rights, or any content you submit through the platform.

18.

Dispute Resolution

Any dispute arising from or related to these Terms or your use of the services shall first be subject to good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, conducted in Orange County, Florida.

You agree to resolve disputes on an individual basis. Class actions and class arbitrations are not permitted under these Terms.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights or other irreparable harm.

19.

Termination

You may terminate your account at any time by contacting us at info@lucidoffer.com. Lucid may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, failure to maintain valid verification, non-payment, or any reason with reasonable notice, except where immediate termination is warranted (fraud, abuse, safety concerns).

Upon termination, your access to the platform will cease. Active offers and transactions in progress may be completed through Lucid Realty under existing brokerage agreements. Audit logs and transaction records will be retained as required by law. Prepaid membership fees are not refunded upon termination.

20.

Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. If we make material changes, we will notify you by email or through a notice on the platform at least 30 days before the changes take effect. Your continued use of the services after the effective date constitutes acceptance of the updated Terms.

21.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Any legal proceedings not subject to arbitration shall be brought in the state or federal courts located in Orange County, Florida, and you consent to the personal jurisdiction of those courts.
